In order to protect the legitimate rights and interests of cooperative members and embody the principle of democratic management, this system is formulated in accordance with the Law of People's Republic of China (PRC) on Farmers' Specialized Cooperatives and the Model Charter of Farmers' Specialized Cooperatives of the Ministry of Agriculture (Order No.4 of the Ministry of Agriculture).
2. The general meeting of members (representatives) is composed of all members (representatives) and is the highest authority of the cooperative.
Three. Duties of the general meeting:
1, review and revise the articles of association and various rules and regulations of this cooperative;
2. Elect and recall the chairman, directors and executive supervisors (or members of the board of supervisors);
3. Decide on the membership fee standard and increase or decrease the membership fee;
4. Review the development plan and annual business plan of this institution;
5, review and approve the annual financial budget and final accounts;
6. Review and approve the annual surplus distribution plan and loss treatment plan;
7. Review and approve the annual business report submitted by the board of directors and the executive supervisor (or the board of supervisors);
8. Decide on major matters such as disposal of property, foreign investment and external guarantee in production and business activities;
9. To make resolutions on merger, division, dissolution, liquidation and external association of the Company;
10. Decide on the number, qualification, remuneration and term of office of the managers and professional technicians to be employed;

12. Decide on other important matters.
4. Members' representatives are elected from all members, and a member congress is elected for every 10 member. The members' congress exercises all the functions and powers of the members' congress, and the term of office of the members' representatives is 2 years, and they can be re-elected.
Five, members (representatives) meeting convened by the board of directors, held at least twice a year.
Six, cooperative members (representatives) meeting, the number of participants should reach more than two-thirds of the total number of members (representatives).
Seven, members (representatives) of the general assembly election or resolution, must be approved by more than half of the total number of members with voting rights; A resolution to amend the articles of association or to merge, split or dissolve shall be adopted by more than two thirds of the members of the cooperative.
Eight, in the following circumstances, you can temporarily convene a general meeting of members (representatives):

Nine, members (representatives) of the general assembly to vote on the proposal, the implementation of "one person, one vote" system. When a member (representative) is unable to attend for some reason, he may entrust a member to act as an agent in writing, and a member can only act as an agent for two members at most.
Ten, members (representatives) meeting minutes, members, directors and supervisors attending the meeting shall sign the minutes.

Article 1 In order to regulate the behavior of the Council and promote the development of cooperatives, this system is formulated in accordance with the Law of People's Republic of China (PRC) on Farmers' Specialized Cooperatives and the Model Charter of Farmers' Specialized Cooperatives of the Ministry of Agriculture (Order No.4 of the Ministry of Agriculture).
Two, the Council is the executive body of the cooperative, responsible for the general meeting of members.
3. The Council consists of three directors, who are elected by the members (representatives) meeting from the members of the society. The term of office is 2 years, and the term of office of the chairman is 1 year, and can be re-elected.
Four. Duties of the Council:
1. Organize and hold the general meeting of members (representatives) and report their work, and implement the resolutions of the general meeting of members (representatives);
2. Formulate development plans, annual business plans and internal management rules and regulations. , submitted to the general meeting of members (representatives) for consideration;
3, formulate the annual financial budget and final accounts, surplus distribution and loss compensation scheme, submitted to the members (representatives) meeting for consideration;
4. Organize member training and various collaborative activities;
5. Manage the assets and finance of cooperatives and ensure the property safety of cooperatives;
6. Accept, reply and deal with relevant questions and suggestions raised by the executive supervisor or the board of supervisors;
7. Decide on matters such as membership, withdrawal, inheritance, delisting, rewards and punishments;
8. To decide on the appointment or dismissal of the manager, financial accounting personnel and other professional and technical personnel of the cooperative;
9. Perform other functions and powers granted by the general meeting of members (representatives).
Five, the voting of the Council meeting, the implementation of one person, one vote. Major issues are discussed collectively, and decisions can only be made with the consent of more than two-thirds of the directors. When individual directors have different opinions on a resolution, they shall record their opinions in the minutes of the meeting and sign them.
VI. Members (representatives) General Assembly shall elect/kloc-0 directors from among the members of the cooperative and exercise their functions and powers in accordance with the articles of association.
Seven, the chairman is the legal representative of this institution. Main responsibilities:
1. Preside over the general meeting of members (representatives), and convene and preside over the board meeting;
2. Sign the capital contribution certificate of the members of this cooperative;
3. Sign the appointment or dismissal letter of the cooperative manager, financial accounting personnel and other professional and technical personnel;
4, organize the implementation of the resolutions of the members (representatives) general assembly and the Council, and check the implementation of the resolutions;
5. Sign the contract on behalf of the agency;
6. Perform other functions and powers granted by the general meeting of members (representatives).
Eight. The board of directors shall give a reply within 10 working days after receiving the written notice of the questions or suggestions raised by the board of supervisors.
Nine, the matters discussed by the board of directors shall form a meeting record, and the directors present at the meeting shall sign the meeting record.
Three. Work system of board of supervisors
1. In order to standardize the behavior of the board of supervisors and promote the development of cooperatives, this system is formulated according to the Law of People's Republic of China (PRC) on Farmers' Specialized Cooperatives and the model regulations of farmers' specialized cooperatives of the Ministry of Agriculture (Order No.4 of the Ministry of Agriculture).
Two, the board of supervisors is the supervisory body of cooperatives, on behalf of all members to supervise the financial and business of cooperatives.
Three. The Board of Supervisors consists of five members with a chairman. Members of the Board of Supervisors are elected by the meeting of members (representatives) for a term of three years and may be re-elected. Co-directors and supervisors shall not concurrently serve each other.
Four. Duties of the Board of Supervisors:
1. Supervise the implementation of the resolutions of the general meeting of members (representatives) and the articles of association of the cooperative;
2, supervise and inspect the production and operation of the agency, responsible for the financial audit and supervision of the agency;
3. Supervise the chairman or members of the board of directors and the manager to perform their duties;
4. Submit the annual monitoring report to members (representatives);
5. Put forward work problems and suggestions for improvement to the chairman or board of directors;
6. Propose to convene an interim general meeting of members (representatives);
7. Responsible for recording the business transaction volume (amount) when the directors conduct business transactions with the agency on behalf of the agency;
8. Perform other duties authorized by the members (representatives) general assembly.
Verb (abbreviation of verb) The meeting of the board of supervisors is called by the chairman of the board of supervisors. If the chairman of the board of supervisors is unable to convene a meeting for some reason, he may entrust other supervisors to convene the meeting.
Six, the voting of the meeting of the board of supervisors to implement one person, one vote. The meeting of the board of supervisors can only be held when more than two thirds of the supervisors are present. Resolutions on major issues shall take effect only with the consent of more than two thirds of the supervisors.
