Chapter I General Principles
Article 1 The Chinese name of the Association is Jiangsu Medical Association, and the English name is Jiangsu Medical Association, or JMA for short.
Article 2 Jiangsu Medical Association (hereinafter referred to as the Society) is an academic, public welfare and non-profit legal person association voluntarily formed by medical science and technology workers in Jiangsu Province and registered according to law. It is a bridge and link between the party and the government to contact medical science and technology workers, a part of Jiangsu Association for Science and Technology, and an important social force to develop medical science and technology and health undertakings in our province.
Article 3 The purpose of this Association is to unite and organize the broad masses of medical scientific and technological workers, abide by the national constitution, laws and regulations, and implement the national policy of scientific and technological health work. Advocate medical ethics and promote social integrity. Adhere to the principle of democratic organization, give full play to academic democracy, improve the professional and technical level of medical science and technology workers, promote the prosperity and development of medical science and technology, promote the popularization and popularization of medical science and technology, promote the growth of medical science and technology team, promote the combination of medical science and technology with economic construction, and serve members, medical science and technology workers, people's health and socialist modernization.
The association protects the legitimate rights and interests of its members and medical science and technology workers according to law.
Article 4 This Association implements Scientific Outlook on Development, adheres to the strategy of rejuvenating the country through science and education, and works around the key scientific and technological research and health-related tasks of the country and our province in various periods. Establish the idea of relying on scientific and technological progress and facing economic construction. Advocate dialectical materialism and historical materialism, and adhere to the scientific attitude of seeking truth from facts and excellent style of study. Respect labor, knowledge, talents and creativity, and advocate the scientific spirit of dedication, innovation, truth-seeking and cooperation. Combine popularization with improvement, combine basic theory with practical application, and strengthen unity and cooperation between Chinese and western medicine. Carry forward the fine tradition of saving lives and serving people's health wholeheartedly.
Article 5 The Association shall accept the business guidance, supervision and management of the competent business units Jiangsu Science and Technology Association and Jiangsu Provincial Civil Affairs Department; The office of the Institute is affiliated to the Health Department of Jiangsu Province.

Chapter II Scope of Business
Article 7 The business scope of this Association:
(a) to carry out medical academic exchanges, organize key academic topics and scientific investigation activities, and close the horizontal contact and cooperation between disciplines and academic groups.
(two) editing and publishing medical academic, technical, information, popular science and other periodicals, books and materials and electronic audio-visual products.
(three) to carry out continuing medical education, organize members and medical science and technology workers to learn business, constantly update the medical science and technology knowledge of members and medical science and technology workers, and improve the medical science and technology business level.
(four) through a variety of channels and forms to carry out medical and health science and health education activities, improve the people's medical and health knowledge level, enhance self-care ability.
(five) to carry out the training and assessment of specialists.
(six) to carry out technical appraisal of medical accidents.
(seven) to carry out the evaluation of medical science and technology projects, to carry out the evaluation and demonstration of the clinical application of new technologies, to carry out the demonstration of medical science and technology decision-making, and to put forward the medical and health science and technology policies and work suggestions, so as to provide the basis for the government's scientific decision-making.

Chapter III Members
Article 8 The members of this Association are divided into members, senior members, unit members and honorary members.
Article 9 Membership requirements: Those who recognize the articles of association of the Association, are willing to join the Association and meet one of the following membership requirements may apply to join the Association.
(1) member
1. Medical college graduates with professional and technical positions above technician are residents, teaching assistants, internship researchers, assistant editors and technicians with professional and technical positions above practice license.
2. Engaged in the work related to the medical profession, with the above corresponding professional and technical positions.
3. Members of societies, associations or research societies in other aspects of science and technology that meet one of the above two conditions.
(2) Senior members
He has been a member for more than 30 years, obtained the position of chief physician, professor, researcher or corresponding professional and technical positions, has high academic prestige, plays a leading role in the development of disciplines and makes important contributions, enthusiastically supports the work of the association, and fulfills the obligations of senior members.
(3) Members of the unit
Associations, medical and health institutions, medical education institutions, medical research institutions and pharmaceutical enterprises that are related to this major and voluntarily participate in this professional activity, support this professional work, and have certain social influence, and a certain number of scientific and technological personnel are established and registered according to law.
(4) Honorary members
Famous foreign medical experts are friendly to China, support our work and make important contributions to the development of medical science and technology in China, or foreign experts and celebrities who are not in the medical field are friendly to China, support our work and make important contributions to promoting medical exchanges between China and other countries (or regions).
Article 10 Membership procedures:
Members apply by themselves, and two members of the association are introduced or recommended by their units, which are reviewed and approved by the standing Council of the association. Senior members are recommended by the expert branch or the organizing Committee of the association, approved by the standing Council of the association and appointed by the president of the association.
Group members shall submit a written application to the Association by the legal representative of the unit, and issue certificates after approval by the Standing Council of the Association. Honorary members are recommended by the special branch of the association or the organizing Committee of the association, and after being approved by the standing Council of the association, the president will issue certificates.
People from Taiwan, Hong Kong, Macao and Taiwan who wish to join the Association shall go through the association formalities in accordance with the relevant provisions of the State Council.
Article 1 1 Rights and obligations of members:
(1) member
1. Enjoy the right to vote, stand for election and vote. Enjoy the right to criticize, suggest and supervise the work of this Association and its professional societies. Give priority to participating in relevant academic activities organized by the association and its professional branches inside and outside the province, and give priority to sending representatives to participate in relevant international academic conferences. Give priority to the use of academic materials of the association or its specialized branches. People will quit voluntarily, and they are free to quit.
2. Abide by the obligations of the Articles of Association. Implement the resolutions and decisions of the Association and its professional branches, and complete the tasks entrusted by the Association and its professional branches. Participate in relevant social welfare activities organized by the association and its professional branches. Pay membership dues on time. Support the development of the association, or accept the entrustment to raise funds according to law. Safeguard the legitimate rights and interests of this association.
(2) Senior members
In addition to enjoying and fulfilling the rights and obligations of members, there are also the following rights and obligations:
1. Enjoy the rights of senior members for life. Free access to the Association's annual academic activity schedule, Jiangsu Medical Association newsletter, relevant academic journals or the collection of papers of specialized branches.
2 to participate in the demonstration and consultation activities organized by this association on the development strategy, policies and major decisions of health work in the province.
(3) Group members
1. has the right to send representatives to participate in relevant academic activities inside and outside the country (territory) and inside and outside the province. Obtain relevant academic materials of our association. We can seek technical advice to help organize training courses and academic conferences at home and abroad, inside and outside the province. Enjoy the right to criticize, suggest and supervise the work of this association.
2. These obligations are the same as those of associate members.
Twelfth membership certificate (letter of appointment) printed by the Association.
Thirteenth members and group members shall notify the issuing unit in writing and return the membership card. Those who do not pay the membership fee or participate in the activities of the association and related special branches for one year shall be deemed to have automatically withdrawn from the association and withdrawn their membership cards. Other serious violations of the Articles of Association shall be removed from the list after discussion by the original examination and approval authority, and membership certificate (letter of appointment) shall be withdrawn.
Chapter IV Establishment and Cancellation of Institutions and Responsible Persons
Fourteenth the highest authority of this association is the provincial member congress, and its functions and powers are:
(1) To formulate and revise the articles of association of this Association;
(2) Electing and dismissing directors;
(3) Electing the honorary president;
(4) To review the work report and financial report of the last Council.
(five) to decide the working principles and tasks of this association;
(6) adopting proposals and resolutions;
(7) Deciding to terminate:
(eight) to decide on other major issues.
Fifteenth provincial member congress must be attended by more than two-thirds of the members' representatives, and its resolution must be passed by more than half of the members' representatives present.
Sixteenth members' congresses in the province are held once every five years. If the meeting needs to be held in advance or postponed due to special circumstances, it must be discussed and approved by the Council or the Standing Council, and reported to the competent business department for examination and approval. The longest extension of the term of office shall not exceed one year.
Seventeenth Council is the executive body of the provincial member congress. It leads the work of the Council when the congress is not in session and is responsible to the provincial members' congress. The term of office is five years.
Article 18 The functions and powers of the Council:
(a) to implement the resolutions and decisions of the provincial members' congress;
(2) To elect or recall the president, vice president, secretary general or executive director.
(three) to prepare for the convening of a provincial member congress;
(four) to report the work and financial situation to the provincial member congress;
(5) Deciding to establish offices, branches, representative offices and entities;
(six) to decide on the appointment of the deputy secretary general of the Association and the principal responsible persons of various institutions;
(seven) to decide on the recall of all kinds of members;
(eight) to examine and approve the annual academic plan and work plan;
(9) Examining and approving the establishment of new specialized branches and applications for medical journals;
(ten) to lead the work of various institutions of the Association;
(eleven) to guide the work of municipal medical associations;
(twelve) to formulate internal management system;
(thirteen) to decide on other major issues.
Article 19 A meeting of the board of directors can only be held when more than two thirds of the directors are present, and its resolutions can only take effect when more than two thirds of the directors present at the meeting agree. The meeting of the Council is held once a year, and special circumstances can take the form of communication.
Article 20 The Association shall establish a standing council, which shall exercise the duties of the council when the council is not in session (except the second paragraph of Article 18) and be responsible to the council for a term of five years. The executive director is elected by the board of directors from among the directors. The number of executive directors shall not exceed one third of the number of directors.
Article 21 A meeting of the Standing Council shall be held only when more than two thirds of the executive directors are present, and its resolution shall be valid only if more than two thirds of the executive directors present at the meeting agree.
Article 22 The meeting of the Standing Council shall be held once every six months. If there are special circumstances, it may be held in advance or postponed.
Conditions can take the form of communication.
Article 23 The president, vice-president and secretary-general of this Association shall meet the following requirements.
(a) adhere to the party's line, principles and policies, good political quality;
(2) It has great influence in the business field of the Association;
(3) The maximum age for the appointment of the president and vice-president is generally not more than 70 years old, and the maximum age for the appointment of the secretary-general is not more than 65 years old.
(four) good health, can adhere to the daily work;
(5) Having not been subjected to criminal punishment of deprivation of political rights;
(6) Having full capacity for civil conduct.
Article 24 The President, Vice-President and Secretary-General of this Association shall be elected by the Council among the executive directors. The term of office of the president, vice-president and secretary-general is five years, and the term of office is generally not more than two.
Article 25 If the president, vice-president and secretary-general elected by the Association exceed the above-mentioned maximum age and term of office, they must be approved by the Council, reported to the competent business unit for examination and approval, and then they can take up their posts.
Article 26 The president of this Association shall be the legal representative of this Association. If necessary, it can be reported to the competent business unit for approval, and then the president will entrust a vice president as the legal representative of the association.
Article 27 The duties of the President of this Association are:
(a) to convene and preside over the members' congresses, council meetings and standing council meetings in the province;
(two) to check the implementation of the resolutions and decisions of the members' congresses and meetings of the Council and the Standing Council;
(3) Signing relevant important documents on behalf of this Council.
Article 28 The duties of the Secretary-General of this Association are:
(a) to preside over the daily work of the office and organize the implementation of the annual work plan;
(2) Coordinating the work of branches, representative offices and entities;
(3) Nominating the deputy secretary-general and the principal responsible persons of the functional departments of branches, representative offices, units or offices, and submitting them to the Standing Council for examination and approval;
(four) to decide on the employment of full-time staff of offices, representative offices and entities;
(5) Handling other daily affairs of the Association.
Article 29 The Association shall recommend an honorary president from people who have important influence in the field of medical and health care, and the outgoing president may recommend to serve as an honorary president for one term.
Article 30 The Association shall have honorary directors, consultants and honorary directors. Those who have made outstanding academic achievements and made important contributions to the work of the association will no longer serve as directors or standing directors, and will be commended or appointed as honorary directors with the consent of the standing Council of the association. Academicians of China Academy of Sciences and China Academy of Engineering are not only directors, but also can be employed as honorary directors or consultants by the Association on a voluntary basis. Medical and health enterprises, institutions and individuals who actively support the work of this Association both inside and outside the country (territory) and inside and outside the province can be employed as honorary directors by the Standing Council of this Association. The above terms of office are all for one term.
Article 31 The Council may set up several working committees as required to undertake relevant work assigned by the Council.
Article 32 With the approval of the Standing Council, the Association will set up corresponding professional branches (named as a branch of Jiangsu Medical Association) according to different disciplines or specialties. A professional branch is an academic branch under the leadership of the Council and is responsible for organizing academic activities of disciplines (majors). Professional branches are not legal person associations, and no separate articles of association are established; The membership system is implemented in the specialist branch, and the term of office of the committee is three years.
Thirty-third according to the needs, the association will set up a number of full-time staff to form an office.
Thirty-fourth full-time staff positions, technical titles, wages, insurance and welfare benefits in accordance with the relevant provisions of the state and province.
Article 35 The Association shall provide professional guidance to the medical associations in various cities.
Article 36 An association may establish a member group in a grass-roots unit with a large number of non-member groups. Units that establish member groups may hire liaison officers or working secretaries to be responsible for contacting members.
Chapter V Principles of Asset Management and Use
Article 37 The sources of funds of this Association are:
(a) to collect membership fees in accordance with the provisions;
(two) donations from individuals or units, enterprises and organizations inside and outside the country (territory) and inside and outside the province;
(3) government financial allocation;
(four) funded by the relevant departments;
(5) Income from activities or services provided within the business scope of this Association;
(6) social funds;
(7) interest;
(8) Other lawful income.
Article 38 The funds of this Association shall be used for activities and career development within the business scope of this Association and shall not be distributed among members.
Article 39 Fund management of the Association:
(1) The Association implements a democratic financial management system under the leadership of the Standing Council, and the financial rules and regulations of the relevant national association for science and technology are implemented in its revenue and expenditure.
(2) The Association shall establish a strict financial management and financial audit system to ensure the legality, truthfulness, accuracy and completeness of accounting information.
(three) the association shall be equipped with full-time accounting personnel with professional qualifications. An accountant may not concurrently serve as a cashier. Accounting personnel shall conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
(four) the asset management of the Association shall implement the relevant financial system of the state and accept the supervision of the members' congress and the financial, auditing and taxation departments of the province.
(5) Before the Council reelects or replaces its legal representative, the Association shall accept the financial audit organized by the registration administration organ and the competent business department of the Association.
(6) The association shall accept the financial audit of the fund by the audit institution designated by the association registration authority.
Article 40 The assets of this Association are public assets, and no unit or individual may occupy, privately divide or misappropriate them.
Chapter VI Procedures for Amending the Articles of Association
Forty-first amendments to the articles of association shall be jointly proposed by more than ten members, and submitted to the provincial member congress for deliberation after being approved by the Council.
Article 42 The amendment of the articles of association shall be submitted to Jiangsu Science and Technology Association for examination and approval within 15 days after being examined and approved by the provincial members' congress, and shall take effect after being submitted to the Provincial Civil Affairs Department for approval.
Chapter VII Termination Procedure and Property Disposal after Termination
Article 43 The termination of this Association shall be proposed by the Council, approved by more than two-thirds of the member congresses in the province, reported to Jiangsu Science and Technology Association and Jiangsu Provincial Health Department for examination and approval, and come into effect after going through the cancellation procedures at Jiangsu Provincial Civil Affairs Department.
Forty-fourth before the termination of this association, a liquidation organization shall be established under the guidance of the competent department of business and relevant organs, responsible for clearing the creditor's rights and debts and handling the aftermath. During the liquidation period, no activities unrelated to liquidation shall be carried out.
Article 45 The surplus property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the competent business department and the competent registration authority in accordance with relevant state regulations.
Chapter VIII Supplementary Provisions
Article 46 The Articles of Association shall be adopted by the Eighth Provincial Member Congress in 2005. It will take effect as of the date of approval by the Civil Affairs Department of Jiangsu Province.
Article 47 The emblem of the Association has a circular outline, with a snake and a staff in the center, a plum blossom pattern on the top of the staff, a map of Jiangsu Province in the background and an olive branch at the bottom. The characters in the picture are the Chinese and English names of the association.
Article 48 The right to interpret the Articles of Association belongs to the Council of the Association.
