Chapter IV Other Rights and Obligations

Article 15 the right to modify and the right to maintain the integrity of a work

1. Without the authorization of Party A, Party B shall not modify the script without authorization. If you need to invite others to modify the script, you must obtain the written consent of Party A in advance;

2. Party A allows Party B to make necessary changes to the script according to the actual situation during the filming, but if it involves changing the main plot content, changing the relationship between characters, changing the title of the film, etc., it shall obtain Party A's written consent.

3. Party B shall not modify any major revolutionary historical script approved by the leading group of the State Administration of Radio, Film and Television;

4. Party B shall keep the script intact, and shall not tamper with or take it out of context, and shall not change the basic elements of the script, such as the theme, era and historical background, character positioning and story ending.

Article 16 Right of Honor

1. If the film and television drama filmed by using the script agreed in this contract wins the prize, Party A has the right to attend the award ceremony, and the travel expenses shall be borne by Party A. If it wins the national government award, Party B shall timely pay the relevant bonus to Party A according to the national regulations;

2. Party B shall invite Party A to attend the domestic premiere or seminar, and participate in the screening competition of domestic and foreign film festivals.

Article 17 Power of Attorney

Based on the relevant laws and regulations of national film and television examination and approval, Party B needs to submit the script authorization letter of Party A to the competent government department at the project examination and approval stage. If Party B fails to pay the remuneration agreed in Chapter III of this contract in full at this time, this power of attorney does not mean that Party B has obtained the relevant complete copyright granted by this contract, and Party B shall not use this script to shoot and distribute film and television dramas, otherwise Party A has the right to ask Party B to stop shooting and pay double compensation according to the remuneration agreed in Chapter III of this contract (see Annex 1).

Article 18 Sub-delegation

Party B only exercises the authorization agreed in this contract, and Party A agrees or disagrees to delegate it to any third party.

Chapter V Warranties and Commitments

Article 19 Warranties and Commitments of Party A

1. Party A warrants and declares that Party A has the complete right and authorization to sign this contract, which does not contain any content that infringes the copyright or other rights and interests of others. If Party B infringes upon the copyright or other rights and interests of others by using the rights granted by Party A, Party B has the right to claim compensation from Party A after the arbitration institution or the people's court makes a judgment;

2. Party A guarantees that after this contract comes into effect, Party B will enjoy the rights stipulated in this contract within the authorized area, including not authorizing any third party to use the scripts agreed in this contract in the same way as Party B before this contract is signed, and not granting the rights granted to Party B in the same way as Party B to any third party within the validity period of this contract.

Article 20 Warranties and Commitments of Party B

2. Party B promises not to sign any contract that conflicts with the rights and interests of this contract within the validity period of this contract;

3. Party B guarantees to shoot and produce authorized scripts within years after the signing of this contract;

Chapter VI Script Delivery

Chapter VII Confidentiality

Article 24 the principle of confidentiality

1. Party A and Party B promise that the commercial and financial information, documents, pictures and files of the other party, whether orally or in writing, will not be disclosed to a third party and will not be used for purposes other than this contract. This agreement shall remain valid for years after the termination of this contract;

2. Both parties shall keep the script (electronic version or paper version) agreed in this contract confidential and shall not disclose it to prevent others from copying and piracy.

Chapter VIII Termination of the Contract

Article 25 Early termination of this contract

During the validity period of this contract, neither party may terminate this contract without the written consent of the other party. However, under the following circumstances, this contract may be terminated in advance, and the written notice of termination shall take effect within 3 days from the date of issuance. After termination, Party B shall not exercise the rights of this contract:

1, unable to continue to perform this contract due to force majeure;

2. If one party seriously violates the relevant provisions of this contract, the other party (observant party) may unilaterally terminate this contract;

3. Exercising the right to unilaterally terminate the contract according to this contract does not mean giving up the right to recover from the defaulting party.

Chapter IX Liability for Breach of Contract

Chapter X Other Agreements

Article 27 upfront expenses

In-depth interview fees for writing scripts and purchase fees for materials required for early creation shall be borne by Party B through negotiation between both parties, and the fees shall be RMB.

Article 28 Selection of directors and starring roles

In order to ensure the shooting quality and marketing of the script, the candidates for the director and starring role are determined by both parties through consultation.

A preliminary understanding was reached, and the director asked others that the main actors should have actors of different grades. Finally, the two sides reached an agreement.

Article 29 Force Majeure

For losses and delays caused by war, fire, explosion, earthquake, natural disaster, flood, drought or bad weather, such as non-delivery, supply or filming or government decrees, both parties shall bear their own losses until the end of the force majeure event.

Article 30 Modification of the Contract

Without the written consent of both parties, this contract shall not be modified or changed at will. If there is any modification or change, a supplementary contract shall be signed as an annex to this contract after both parties reach an agreement through consultation.

Article 31 Application of law

This contract shall be interpreted according to the laws of People's Republic of China (PRC), and the interpretation and performance of this contract shall be governed by the laws of People's Republic of China (PRC).

Article 32 dispute settlement

Disputes arising from the interpretation or performance of this contract shall be settled by both parties through consultation. If negotiation fails, it shall be settled in the following ways:

1. Arbitration by the Arbitration Commission;

2. Bring a lawsuit to the people's court with jurisdiction such as the plaintiff's domicile or the place where the contract is signed and performed.

1. If the number of TV series actually shot by Party B according to Party A's script exceeds the number agreed in this contract. Party A shall, according to the unit price of each episode of the script agreed in this contract, pay extra remuneration to Party B according to the actual number of episodes before paying the full remuneration.

According to Article 6 of the Provisions of the State Administration of Radio, Film and Television on the Filing of Movie Screens (Outlines) and the Management of Movie Films, it is necessary to go through the formalities of filing movie screenplays (Outlines) and have an agreement (authorization) on the copyright of movie screenplays (Outlines).
