(a) there are more than fifty economic organizations in the same industry to apply for membership;
(two) a standardized name, indicating the industry and activity area;
(3) Having a fixed domicile, corresponding organizational structure and articles of association;
(4) Having full-time personnel suitable for its business activities;
(5) It has legal assets and sources of funds, and its registered capital is not less than 30,000 yuan;
(6) Having the ability to bear civil liability independently. Eleventh to apply for the establishment of a trade association, the applicant shall first submit a preparatory application to the registration authority.
To apply for the establishment of a trade association, there must be more than eight promoters. The promoters must be economic organizations with business licenses and good business records for more than two consecutive years.
To apply for the establishment of a trade association, the promoters shall submit the following documents to the registration authority:
(1) an application;
(2) Basic information, business license and business certificate of the promoters;
(3) Capital verification report and relevant proof of residence;
(4) Draft articles of association.
The registration authority shall, within 30 days from the date of receiving the application from the promoters, make a decision on approval or disapproval of the preparation according to law; If it decides not to approve the preparation, it shall explain the reasons in writing to the promoters. Article 12 After receiving the decision of the registration authority to approve the preparation, the promoters shall announce the preparation to the public through newspapers and websites within one month, and accept the application for membership of economic organizations in the same industry.
The sponsors shall hold a preparatory meeting within six months from the date when the registration authority makes a decision on approval.
The preparatory meeting shall exercise the following functions and powers:
(1) To adopt the articles of association and election methods;
(two) the organization of the elected association.
The preparatory meeting must be attended by more than two thirds of the applicants; The articles of association shall be adopted by more than two thirds of the applicants present at the meeting, and other resolutions of the preparatory meeting shall be adopted by more than half of the applicants present at the meeting. Article 13 The articles of association of a trade association shall include the following contents:
(1) Name and domicile;
(2) Purpose, business scope and activity area;
(3) Membership, rights and obligations, and payment standards of membership fees;
(4) Organizational management system, members (members' representatives) board of directors, standing council, president and board of supervisors, term of office and methods of recall;
(5) Measures for the management and use of assets such as financial budget, final accounts and liquidation;
(6) Procedures for amending the Articles of Association;
(7) Measures for establishing branches and representative offices;
(eight) the measures for the disposal of assets after the change, cancellation and cancellation of the association;
(nine) other matters that should be stipulated in the articles of association. Article 14 To establish a trade association, the promoters shall apply to the registration authority for registration, and submit the following materials to the registration authority within 15 days after the preparatory meeting:
(1) an application;
(2) Articles of association;
(3) Capital verification report and relevant certificates of domicile;
(4) Minutes of preparatory meetings;
(5) Other relevant materials.
The registration authority shall, within 30 days from the date of receiving all valid documents listed in the preceding paragraph, make a decision on whether to approve or disapprove the registration. If the registration is granted, a Certificate of Registration of Social Organizations as Legal Persons shall be issued; If the registration is not granted, the reasons shall be explained in writing.
Where an industry association establishes a branch or representative office according to its articles of association, it shall apply to the registration authority for registration.
