Chapter I General Principles
Article 1 Name:
Chinese name of the Society: Chinese Mathematical Society;
English name: chinese mathematical society; ; Abbreviation: CMS.
The second property:
The Society is a national academic and social public welfare legal person social group voluntarily formed by national mathematicians and registered according to law, and it is an important social force for developing China's mathematics cause.

The activities of this association abide by the Constitution, laws, regulations and national policies, and abide by social ethics. Carry out the policy of "letting a hundred flowers blossom and a hundred schools of thought contend", adhere to the principle of democratic organization and conduct free academic discussions. Chapter II Scope of Business
Article 6 The business scope of the Society:
(a) to participate in and carry out various forms of academic exchanges at home and abroad to promote the development of disciplines;
(2) Editing and publishing mathematical academic journals and popular science journals;
(three) to carry out activities to promote the improvement of mathematics teaching level;
(four) to carry out the work of mathematics popularization and mathematics Olympic activities;
(five) to hold training courses, workshops or seminars in various fields of mathematics to improve the academic level of members;
(six) to accept the consultation of important national science and technology policies and related major science and technology projects in the field of mathematics, put forward reasonable suggestions, and reflect the opinions and requirements of mathematicians to the relevant departments;
(seven) to discover and recommend talents in the field of mathematics, and to reward and commend mathematicians who have made outstanding contributions;
(eight) to promote the integration of theory with practice, attach importance to the connection between mathematics and other disciplines, and carry out related activities.
Chapter III Members
Article 7 This Association consists of individual members, group members and foreign members.
Article 8 membership conditions. To apply for membership of the Institute, you must meet the following conditions:
(1) Anyone who recognizes the Articles of Association and meets one of the following conditions (including compatriots from Hong Kong, Macao and Taiwan) may apply to become an individual member.
(1) Scientific and technical personnel engaged in mathematics or related work with the titles of lecturer, assistant researcher, engineer and middle school teacher;
(2) Scientific and technical personnel who have obtained a master's degree or above;
(3) Graduated from institutions of higher learning, engaged in mathematics work in scientific research, teaching, production enterprises and institutions or scientific research and education, organization and management departments for more than three years; Or a person who is not a graduate of an institution of higher learning, but has the same academic ability as the above-mentioned personnel;
(4) People from relevant departments who are enthusiastic about mathematical research or education and actively support the work of this Association.
(2) All enterprises and institutions related to mathematics and willing to support the work of the Association may apply to the Association for membership if they recognize the articles of association.
(3) Foreign mathematicians who have high academic achievements, are friendly to China and are willing to contact our Association can apply for and be accepted as foreign members of our Association.
Article 9 Membership procedures:
(1) Individual members voluntarily apply for membership, and become members of the Chinese Mathematical Society after being introduced by members of the Association or recommended by their units, reviewed and approved by the mathematical society or branch of the province, municipality directly under the Central Government and autonomous region where they are located, and reported to the Association for the record.
(2) Group members can directly apply to the Association for membership, and become group members in chinese mathematical society after being examined and approved by the Standing Council of the Association.
(3) Foreign members need to apply directly to the Association for membership. They will be recommended by the Association 1 member, become members of chinese mathematical society after being approved by the Standing Council, and report to the China Association for Science and Technology for the record.
Article 10 Rights of Members
(1) The rights of individual members are:
(1) Have the right to vote and stand for election;
(two) suggestions, criticisms and supervision of the work of this association;
(3) get the priority of our service;
(4) Give priority to various academic activities organized by the Association;
(5) Give priority to the relevant publications and academic materials of the Association;
(two) the rights of group members are:
(1) Participate in relevant academic activities of the Association;
(2) Give priority to the academic materials of the Association;
(three) suggestions, criticisms and supervision of the work of this association;
(4) We can be asked to give priority to providing consulting services;
(5) We may be asked to help organize training courses.
(3) The rights of foreign members are:
(1) Give priority to the academic publications issued by our association;
(2) You can apply to attend academic conferences sponsored by our Association;
(3) Academic papers can be published in academic journals sponsored by our Association.
Article 1 1 Obligations of Members
(1) The obligations of individual members are:
(1) Abide by the Articles of Association;
(2) Implement the resolutions of this Council;
(three) to safeguard the legitimate rights and interests of this association;
(4) Actively participate in relevant activities organized by the Association to promote the work of the Association;
(5) Pay membership dues on schedule.

(1) Support related activities organized by the Association;

(3) Pay membership dues on schedule.
(3) The obligations of foreign members are:
(1) Support and assist our international exchange activities;
(2) Pay membership dues on schedule.
Article 12
The membership and daily management of individual members shall be the responsibility of the mathematical societies or subject branches of all provinces, municipalities directly under the Central Government and autonomous regions, and the membership cards of the Chinese Mathematical Society shall be uniformly issued by the Association. Group members and foreign members are directly managed by the association, and group membership cards or foreign membership cards are issued.
Article 13
If a member withdraws from the club, he shall notify the club in writing and return his membership card. If a member fails to pay the membership fee or participate in the activities of the association for two years, it shall be proposed by the association.
Those who fail to pay within one year after the exhibition are deemed to have withdrawn from the meeting automatically.
Article 14
If a member seriously violates the articles of association, he shall be removed from the membership by voting of the Council or the Standing Council.
Chapter IV Establishment and Cancellation of Institutions and Responsible Persons
Article 15
The organizational principle of this association is democratic centralism, and the highest authority is the National Congress of its members.
In principle, the National Congress of Members can only be convened if more than two thirds of the members' representatives are present, and its resolutions can only take effect if more than half of the members' representatives present at the meeting vote. When necessary, the opinions of the delegates who did not attend the meeting can be supplemented by communication.
The National Congress of Members is held every four years. In case of special circumstances, it needs to be changed or postponed in advance. It must be voted by the Council and reported to China Association for Science and Technology and approved by the Civil Affairs Bureau of the Ministry of Civil Affairs. However, the term of office shall not be extended for more than one year.
When necessary, with the discussion and approval of the Standing Council or the Council, the National Congress of Members can be conducted by means of communication, but the procedures are exactly the same as those of the Congress of Members.
The functions and powers of the National Congress of Members are:
(1) To decide on the tasks and working principles of the Institute;
(2) Formulating and amending the articles of association;
(3) Electing and dismissing directors;
(four) to consider the work report and financial report of the Council;
(5) Deciding to terminate.
Article 16
The Council is the executive body of the National Assembly of Parliamentarians, leading the Council to carry out its daily work during the intersessional period and being responsible to the National Assembly of Parliamentarians.
The functions and powers of the Council are:
(a) to implement the resolutions of the National Congress of Members;
(two) to elect and recall the chairman, vice chairman and secretary general;
(3) Preparing for the convening of the National Congress of Members;
(four) to report the work and financial situation to the member national congress;
(5) Deciding to establish offices, branches, representative offices and entities;
(six) to decide on the appointment of the Deputy Secretary-General and the principal responsible persons of various institutions;
(seven) to lead the institutions of this society to carry out their work;
(eight) to formulate internal management system;
(9) Deciding on other major matters.
The Council meets every two years; Under special circumstances, it can also be held in the form of communication.
In principle, the board of directors can only be convened when more than two thirds of the directors are present, and its resolutions can only take effect when more than two thirds of the directors are present to vote.
The term of office of the directors is four years, and the directors can be re-elected at most once; The newly elected directors shall not be over 60 years old.
Article 17
The Association shall set up a standing council. The executive directors are elected by the board of directors, and exercise the functions and powers of Article 16 (1, 3, 5, 6, 7, 8 and 9) when the board of directors is not in session, and are responsible to the board of directors (the number of executive directors shall not exceed 65,438+0/3 of the number of directors).
In principle, the Standing Council can only be convened when more than two thirds of the executive directors are present, and its resolutions can only take effect when more than two thirds of the executive directors present vote.
The Permanent Council shall meet at least once every six months; Special circumstances can also be held in the form of communication.
Article 18
The chairman, vice-chairman and secretary-general of this agency must meet the following conditions:
(a) adhere to the party's line, principles and policies, good political quality;
(2) It has great influence in the business field of this firm;
(3) The chairman, vice-chairman and secretary-general shall not be over 68 years old. The Secretary-General should generally be full-time; When the secretary-general is not full-time, the office must be equipped with a full-time deputy secretary-general;
(4) Being in good health and able to stick to normal work;
(5) Having not been subjected to criminal punishment of deprivation of political rights;
(6) Having full capacity for civil conduct.
Article 19
The term of office of the president of the association is four years, and he may not be re-elected; The term of office of the Vice-Chairman and the Secretary-General is four years, and may be renewed at most once. If it is necessary to extend the term of office due to special circumstances, it must be approved by more than two thirds of the members of the National Congress of Members, reported to the China Association for Science and Technology for review and approved by the Civil Affairs Bureau before taking office.
Article 20
The chairman of the association is the legal representative. Due to special circumstances, the vice-chairman or the Secretary-General shall serve as the legal representative, which shall be reported to the China Association for Science and Technology for review and approved by the Civil Affairs Bureau.
The legal representative of this cooperative does not concurrently serve as the legal representative of other social organizations.
Article 21 The chairman of this Association shall exercise the following functions and powers:
(a) to convene and preside over the Council (or the Standing Council);
(two) to check the implementation of the resolutions of the National Congress and the Council (or the Standing Council);
(3) Sign relevant important documents on behalf of the Institute.
Article 22 The Secretary-General of this Association shall exercise the following functions and powers:
(a) to preside over the daily work of the office and organize the implementation of the annual work plan;
(2) Coordinating the work of branches, representative offices and entities;
(3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches and units, and submitting them to the Council or the Standing Council for decision;
(four) to decide on the employment of full-time staff of offices, representative offices and entities;
(5) Handle other daily affairs.
Article 23
According to the needs of the work, the Council established the following working bodies:
(1) Academic Exchange Working Committee;
(2) International Exchange Committee;
(3) Editorial and Publishing Working Committee;
(4) Popularization Committee;
(5) Mathematical Olympic Committee;
(6) Communication Committee;
(7) Board of Education;
(8) Mathematical Terminology Examination Committee;
(9) Electronic Information and Communication Committee;
(10) Institute Office;
(eleven) other working institutions decided by the Council or the Standing Council.
Under the leadership of the Council, the working bodies are responsible for organizing various activities within their responsibilities.
The members and responsible persons of the working bodies are appointed by the Council or the Standing Council.
Article 24
According to the needs of discipline development and academic activities, the establishment of discipline branches or professional committees must be discussed and approved by the Standing Council and reported to the China Association for Science and Technology and the Ministry of Civil Affairs for approval.
Subject branches and professional committees are academic institutions responsible for organizing academic activities in their own disciplines under the leadership of the Council. Their jobs are:
(1) Organizing academic exchange activities at home and abroad in this discipline;
(two) to undertake the work of related disciplines;
(3) Editing the edition of academic journals.
Article 25
Provinces, municipalities directly under the central government and autonomous regions may establish mathematical societies of provinces, municipalities directly under the central government and autonomous regions.
The mathematical societies of all provinces, municipalities directly under the Central Government and autonomous regions are under the leadership of the provincial, municipal and autonomous region associations for science and technology, and are professionally guided by the Chinese Mathematical Society.
Chapter V Principles of Asset Management and Use
Twenty-sixth sources of social funds:
(a) funded by the China Association for Science and Technology;
(2) Collecting membership fees in accordance with relevant state regulations;
(3) donations from individuals or groups;
(4) government funding;
(5) Income from activities or services provided within the approved business scope;
(6) Interest income;
(7) Other lawful income.
Article 27
The funds of this association must be used for the development of business scope and undertakings stipulated in the articles of association, and shall not be distributed among members.
Article 28
The college establishes a strict financial management system to ensure that accounting information is legal, true, accurate and complete. The association is equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 29
No unit or individual may occupy, privately divide or misappropriate the assets of this cooperative. The asset management of this firm must implement the financial management system stipulated by the state and accept the supervision of the National Congress of Members and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.
Article 30
Before learning to change the legal representative, you must accept the financial audit of the Civil Affairs Bureau and China Association for Science and Technology.
Article 31
The wages, insurance and welfare benefits of the full-time staff of the Institute shall be implemented with reference to the provisions of relevant state institutions.
Chapter VI Procedures for Amending the Articles of Association
Article 32
Any amendment to the articles of association of this Association shall be approved by the Council (or the Standing Council) and submitted to the National Congress for deliberation. The revised articles of association were adopted by the National Congress of Members, examined and approved by China Association for Science and Technology, and came into effect within 15 days after being approved by the Ministry of Civil Affairs.
Chapter VII Termination Procedure and Property Disposal after Termination
Article 33
If an association completes its purpose or is dissolved by itself or needs to be revoked due to division or merger, the Council or the Standing Council shall propose a termination motion.
The motion for termination must be voted by the National Congress of Members and submitted to the China Association for Science and Technology for examination and approval.
The association shall be terminated after the cancellation formalities of the Civil Affairs Bureau of the Ministry of Civil Affairs.
Article 34
Before the termination of the association, a liquidation organization should be established under the guidance of China Association for Science and Technology and relevant departments to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Under the supervision of the China Association for Science and Technology and the Administration of Civil Organizations of the Ministry of Civil Affairs, the remaining property after the termination of the association will be used to develop undertakings related to the purpose of the association in accordance with relevant state regulations.
Chapter VIII Supplementary Provisions
Article 35
The Articles of Association was adopted by the Ninth National Congress on June 2, 2003.
The right to interpret the Articles of Association belongs to the Council of the Society (or the Standing Council).
The Articles of Association shall come into force as of the date of approval by the Civil Affairs Bureau.
