Article 1 The name of this group is China Society of Industrial and Applied Mathematics (hereinafter referred to as the Society), and the English name is China Society for Industrial and Applied Mathematics (hereinafter referred to as CSIAM).
Article 2 This Association is a national academic society composed of personnel and units engaged in the teaching, research, development and application, production and operation of industrial and applied mathematics. The Association is a voluntary non-profit social organization.
Article 3 The purpose of this Association is to establish a stable communication channel between the mathematical community and the industrial and commercial community; Promote the close integration of mathematics workers with engineering and technical personnel and enterprise managers; Solve all kinds of mathematical problems faced by economic development and technological progress; Promote applied mathematics education and research. All activities of the Association shall abide by the Constitution, laws, regulations and national policies, and abide by social morality.
Article 4 The competent business units of this Association are People's Republic of China (PRC) * * and the Ministry of Science and Technology, and the registration authorities of associations are People's Republic of China (PRC) * * and the Ministry of Civil Affairs, with the registration number of social security No.3482. The Association accepts the business guidance, supervision and management of the above-mentioned competent units and registration authorities.
Article 5 The domicile of the Association is Department of Mathematical Sciences, Tsinghua University, Beijing, 100084.
Chapter II Scope of Business
Article 6 The business scope of this Association
(a) to carry out academic exchanges at home and abroad;
(two) to promote cooperation between the business community and universities and scientific research institutions;
(three) to carry out popularization activities of industrial and applied mathematics, and organize scientific and technological development and consulting services;
(four) to accept the consultation of important national science and technology policies and related major science and technology projects, and put forward reasonable suggestions; Popularize scientific research and application achievements;
(five) the organization of industrial and applied mathematics teaching research and exchange, the organization of the national mathematical modeling competition;
(six) editing and publishing academic and popular science books and periodicals, scientific and technological materials.
Chapter III Members
Article 7 Members of this Association are divided into unit members and individual members.
Article 8 A member applying to join this Association must meet the following requirements:
(a) support the articles of association;
(2) Having the will to join this Association;
(3) Those who have a certain influence on the business (industry and discipline) of the Association and meet one of the following conditions may apply for individual membership:
1. Lecturer, assistant researcher, engineer or above or equivalent engaged in industrial and applied mathematics related work.
2. Leading cadres, entrepreneurs and people from all walks of life who are enthusiastic and actively support our work.
3. Graduate students who are studying industrial and applied mathematics and related disciplines.
(four) scientific research, schools, design, factories and mines, companies and other units that actively support the work of the Association may apply to the Association for membership;
(5) To become an individual member, an individual member must go through the application procedures for membership.
Article 9 The procedures for joining the club are as follows:
(1) Individual membership applicants are recommended by two full members of the Association, submit membership applications and fill in the membership registration form; To apply for membership, the unit shall submit an application for membership and fill in the membership registration form;
(2) discussed and adopted by the Council;
(3) Registration of members shall be conducted by the Association Office, and membership cards shall be issued.
Article 11 Members shall perform the following obligations:
(a) To implement the resolutions of this Council;
(two) to safeguard the legitimate rights and interests of the association;
(three) to complete the work assigned by the association;
(four) to pay membership fees in accordance with the provisions;
(5) To report the situation to this Council and provide relevant academic and technical information.
Article 12 A member who withdraws from the club shall notify the club in writing and return his membership card. If a member does not pay the membership fee for one year and does not participate in group activities, it will be deemed as automatic withdrawal.
Article 13 A member who seriously violates the Articles of Association shall be removed by voting of the Council or the Standing Council.

Article 14 The highest authority of this Association is the members' congress, and its functions and powers are:
(a) to formulate and amend the articles of association;
(2) Electing and dismissing directors;
(three) to consider the work report and financial report of the Council;
(4) Deciding to terminate.
(5) Deciding on other major matters.
Fifteenth members' congress can only be held when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives present vote.
Article 16 The general meeting of members shall be held every four years. If it is necessary to advance or postpone the general election due to special circumstances, it must be voted by the board of directors, reported to the competent business unit for examination and approval, and approved by the registration authority of the association. However, the term of office shall not be extended for more than one year.
Article 17 The Council is the executive body of the general meeting of members, leading the association to carry out its daily work during the intersessional period and being responsible for the general meeting of members.
Article 18 The functions and powers of the Council are:
(a) to implement the resolutions of the members' congress;
(two) to elect and recall the chairman, vice chairman and secretary general;
(three) to prepare for the convening of the members' congress;
(four) to report the work and financial situation to the members' congress;
(five) to decide to absorb or recall members;
(6) Deciding to establish offices, branches, representative offices and entities;
(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;
(eight) to lead the work of the institutions of this Association;
(nine) to formulate internal management system;
(10) To decide on other major matters.
Article 19 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present.
Article 20 The Council shall meet at least once a year; Under special circumstances, an exchange meeting can also be held.
Article 21 The Association shall establish a standing council. The Standing Council is elected by the board of directors, and exercises the functions and powers of Article 18 (1, 3, 5, 6, 7, 8 and 9) when the board of directors is not in session, and is responsible to the board of directors (the number of standing directors shall not exceed 65,438+0/3 of the number of directors).
Twenty-second meetings of the Standing Committee can only be held when more than two thirds of the directors of the Standing Committee are present, and its resolutions can only take effect when more than two thirds of the directors of the Standing Committee are present.
Article 23 The Standing Council shall meet at least once every six months; Under special circumstances, an exchange meeting can also be held.
Article 24 The chairman, vice-chairman and secretary-general of this Association must meet the following conditions:
(a) adhere to the party's line, principles and policies, good political quality;
(2) It has great influence in the business field of the Association;
(3) The maximum age of the chairman, vice-chairman and secretary-general shall not exceed 70, and the secretary-general shall be full-time;
(4) Being in good health and able to stick to normal work;
(5) Having not been subjected to criminal punishment of deprivation of political rights;
(6) Having full capacity for civil conduct.
Article 25 If the chairman, vice-chairman and secretary-general of the Association are over the maximum working age, they can take up their posts only after being approved by the Council, reported to the competent business unit for examination and approved by the registration administration organ of the Association.
Article 26 The term of office of the Chairman, Vice-Chairman and Secretary-General of this Association is four years; No more than two sessions. If it is necessary to extend the term of office due to special circumstances, it must be voted by more than two-thirds of the members' representatives at the members' congress, reported to the competent business unit for review, and approved by the registration and management authority of the association before taking office.
Article 27 The president of this Association is the legal representative of this Association. If it is necessary for the vice president or the secretary-general to be the legal representative due to special circumstances, it shall be reported to the competent business unit for examination and approval before taking up the post.
The legal representative of this Association shall not concurrently serve as the legal representative of other organizations.
Article 28 The chairman of this Association shall exercise the following functions and powers:
(a) to convene and preside over the Council (or the Standing Council);
(two) to check the implementation of the resolutions of the members' congress and the Council (or the Standing Council);
(3) Signing relevant important documents on behalf of this Council.
Article 29 The Secretary-General of this Association shall exercise the following functions and powers:
(a) to preside over the daily work of the office and organize the implementation of the annual work plan;
(2) Coordinating the work of branches, representative offices and entities;
(3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;
(four) to decide on the employment of full-time staff of offices, representative offices and entities;
(5) Handle other daily affairs.

Article 30 Sources of funds of the Association
(1) membership fees;
(2) donation;
(3) government funding;
(4) Income from activities or services provided within the approved business scope;
(5) interest;
(6) Other lawful income.
Article 31 the association collects membership fees in accordance with the relevant provisions of the state.
Article 32 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.
Article 33 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting information.
Article 34 An association shall be equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 35 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.
Article 36 Before changing its members or legal representatives, an association must accept the financial audit organized by the registration authority and the competent business unit of the association.
Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.
Article 38 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.
Chapter vi
Article 39 Any amendment to the articles of association of this Association shall be approved by the Council and submitted to the members' congress for deliberation.
Article 40 The revised articles of association of the Association shall come into effect within 15 days after being passed by the members' congress, reviewed and agreed by the competent business unit and approved by the registration administration organ of the Association.
Chapter VII
Article 41 If this Association completes its purpose or disbands itself, or needs to be cancelled due to division or merger, the Council or the Standing Council shall propose a motion.
Article 42 The motion to terminate this association must be voted by the members' congress and submitted to the competent business unit for examination and approval.
Forty-third before the termination of this association, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 44 this association shall be terminated after the cancellation of registration by the association registration authority.
Article 45 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purpose of this Association under the supervision of the competent business units and the registration and administration organs of associations in accordance with the relevant provisions of the state.
Chapter VIII Supplementary Provisions
Article 46 The articles of association of this Association were voted by the members' congress on1September 1992 10, and standardized according to the Model Text of Articles of Association of Social Organizations issued by the Ministry of Civil Affairs, and were voted by the enlarged meeting of the Standing Committee of this Association on February 6, 1999.
Article 47 The right to interpret the Articles of Association belongs to the Council of the Association.
Article 48 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
