Articles of Association of China Construction Industry Association

Chapter I General Principles

Article 1 The name of this Association is China Construction Industry Association, and the English name is China Construction Industry Association, abbreviated as CCIA.

Article 2 China Construction Industry Association is a national trade organization voluntarily composed of enterprises, institutions, educational and scientific research institutions, local construction industry associations, departmental construction industry associations and relevant professionals engaged in civil engineering, construction engineering, line, pipeline and equipment installation engineering and decoration engineering activities in all regions and departments of the country. It is a non-profit social organization with legal personality registered in the Ministry of Civil Affairs.

Article 3 The purpose of China Construction Industry Association is to adhere to and implement Scientific Outlook on Development under the guidance of Deng Xiaoping Theory and Theory of Three Represents, abide by the national constitution, laws, regulations and relevant state policies, unite all forces in the construction industry in accordance with the requirements of improving the socialist market economic system and building a harmonious socialist society, adhere to the service first, and actively reflect the demands of enterprises. Safeguard their legitimate rights and interests, standardize their own behavior, strengthen industry self-discipline, promote the sustained and healthy development of the construction industry, and give full play to the role of pillar industries.

Article 4 The Association accepts the professional guidance, supervision and management of the competent department of People's Republic of China (PRC), the Ministry of Housing and Urban-Rural Development, the registration authority of People's Republic of China (PRC) and the Ministry of Civil Affairs.

Article 5 The headquarters of China Construction Industry Association is located in Beijing.

Chapter II Scope of Business

Article 6 The business scope of this Association is as follows:

(a) to study and discuss the theory, principles and policies of the reform and development of the construction industry, reflect the requirements and wishes of the vast number of construction enterprises to the government and relevant departments, and put forward suggestions on economic and technological policies and regulations for the development of the industry;

(two) to assist the competent government departments to study, formulate and implement industry development plans and relevant laws and regulations, promote industry management, coordinate the problems in implementation, and improve the overall quality, economic benefits and social benefits of the whole industry;

(three) authorized or entrusted by the competent government departments, participate in or organize the formulation of standards and norms, and organize the implementation of industry statistics, credit evaluation, qualification and professional qualification audit, standard evaluation and other work;

(four) to guide and promote the construction enterprises to face the market, establish a modern enterprise system, improve the operating mechanism, enhance market competitiveness, improve the management level and economic benefits of enterprises, and ensure the quality of projects and safe production;

(five) to guide the work of local and departmental construction industry associations, organize the exchange of experience, establish and improve the industry self-discipline mechanism, carry out inspection and evaluation, standardize industry behavior, commend and reward high-quality engineering projects, outstanding enterprises and outstanding talents;

(six) to safeguard the legitimate rights and interests of member units, organize legal advice, legal aid and legal relief, and help enterprises coordinate labor relations;

(7) Editing and publishing periodicals and yearbooks, strengthening the website construction of the construction industry, collecting, analyzing and publishing domestic and foreign policies and regulations, documents and industry market information, popularizing and displaying the achievements of construction science and technology, organizing all kinds of professional training and job skills training, and constantly improving the quality of construction enterprises and construction workers;

(eight) to develop friendly exchanges with foreign countries and non-governmental organizations in Hongkong, Macao Special Administrative Region and Taiwan Province Province, and organize international economic and technological exchanges and cooperation;

(nine) to undertake matters entrusted by government departments, social organizations and member units;

(ten) according to the need to carry out other activities conducive to the development of the industry.

Chapter III Members

Article 7 The members of this Association include group members, unit members and individual members.

Article 8 A member applying to join this Association must meet the following requirements:

(1) group members

Local and departmental construction organizations with legal personality recognize the articles of association and apply for participation voluntarily. Upon approval, they can become group members of China Architectural Association.

(2) Members of the unit

Enterprises, institutions and educational and scientific research institutions are engaged in civil engineering, construction engineering, line, pipeline and equipment installation engineering, decoration engineering, engineering survey and design activities, etc. , approve the articles of association, apply for membership voluntarily, and become a member of the association after approval.

(3) Individual members

Professionals who have obtained professional qualifications in the construction industry, as well as experts, scholars and model workers who are well-known in the whole industry, recognize the Articles of Association and voluntarily apply for participation. After approval, they can become individual members of the association.

Article 9 A member shall apply for membership, which shall be voted by the Standing Council, registered by the Secretariat and awarded the membership certificate.

Article 10 Members shall enjoy the following rights:

(a) The right to vote, to be elected and to vote;

(two) have the right to ask the Association to investigate and study issues of common concern to enterprises and industries, and put forward policy suggestions to the government and relevant departments;

(3) Have the right to participate in various activities organized by the Association;

(four) give priority to providing information services and books and periodicals of the association;

(five) suggestions, criticisms and supervision of the work of this association;

(six) have the freedom to join and quit this association.

Article 11 Members shall perform the following obligations:

(1) Abide by the articles of association of this Association and implement the resolutions of this Association;

(two) actively undertake the work entrusted by the association, timely reflect the situation and provide relevant information;

(3) Paying membership dues in time according to regulations;

(four) to publicize the purpose of this association, safeguard the legitimate rights and interests of this association, and expand the social influence of this association with practical actions.

Article 12 When a member withdraws from the meeting, he shall notify the secretariat of the Association in writing and return his membership card. If a member fails to perform his obligations without reason or fails to pay his membership fee for two consecutive years and refuses to pay it, it will be deemed as voluntary withdrawal from the club, and the club will cancel his membership in writing.

Article 13 If a member seriously violates the Articles of Association, he/she shall be removed from the membership after being voted by the Standing Council.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Article 14 The highest authority of this Association is the members' congress, and members' representatives are elected by various regions and departments. The functions and powers of the members' congress are:

(a) to formulate and amend the articles of association;

(two) to elect and recall the directors of the association;

(3) Hearing and deliberating the work report and financial report of the Council;

(4) Deciding to terminate.

(five) to decide on the working principles, tasks and other major issues.

Fifteenth members' congress can only be held when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives are present to vote.

Article 16 The general meeting of members shall be held every four years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the board of directors, reported to the competent business unit for review, and approved by the association registration authority. The longest extension of the term of office shall not exceed one year.

Article 17 The Council is the executive body of the general assembly, leading the Association to carry out its daily work when the general assembly is not in session, and being responsible for the general assembly. The term of office of each Council is four years. Participating in the board of directors is an important way for directors to perform their duties. If a director fails to participate in the board of directors for two consecutive years without reason during his term of office, he shall be deemed to have voluntarily given up his position as a director. If it is necessary to change directors due to job transfer and other reasons, the unit to which they belong shall separately propose candidates for directors, which shall be reported to the Standing Council for confirmation and filed by the Secretariat.

Article 18 The functions and powers of the Council are:

(a) to implement the resolutions of the members' congress;

(2) Electing and dismissing executive directors;

(three) to elect and recall the president, vice president and secretary general;

(four) to prepare for the convening of the members' congress;

(five) to report the work and financial situation to the members' congress;

(6) Deciding to establish offices, branches, representative offices and entities;

(seven) to decide on the absorption, reward and punishment and expulsion of members;

(8) To decide on the appointment of the Deputy Secretary-General;

(nine) to lead the work of the institutions of this Association;

(ten) to formulate the management system of the association and its branches;

(eleven) to listen to and consider the work report of the Standing Council;

(twelve) to consider and decide on other major issues.

Article 19 The board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall take effect only when more than two thirds of the directors are present.

Article 20 The Council shall meet once every one to two years; Under special circumstances, an exchange meeting can also be held.

Article 21 The Association shall establish a standing council. The Standing Council shall be elected by the Council according to the proportion of one third of the directors, and shall exercise the functions and powers of Item 1, 4, 6, 7, 8, 9, 10, 11 and 12 of Article 18 when the Council is not in session, and be responsible to the Council.

Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.

Article 23 In principle, the Standing Council shall hold a meeting once a year. Under special circumstances, it can also be held at the right time or by means of communication. Attending the executive meeting is an important way for executive directors to perform their duties. If an executive director fails to attend the executive board for two consecutive times without reason during his term of office, he shall be deemed to have voluntarily given up his position as an executive director. If it is necessary to replace the executive director due to job transfer and other reasons, the unit to which it belongs shall propose another candidate for the executive director, which shall be reported to the Standing Council for confirmation and filed by the Secretariat.

Article 24 The president, vice-president and secretary-general of this Association must meet the following conditions:

(a) adhere to the party's line, principles and policies, with high political and ideological quality;

(two) have a great influence in the business field of the association, enthusiastic about the work of the association, familiar with the situation of the construction industry, and recognized by the industry as having rich professional knowledge and good organizational leadership and coordination skills;

(3) The working age of the president and vice president is generally no more than 70 years old. The Secretary-General is full-time, and his working age is generally no more than 65 years old;

(4) Being in good health and able to stick to normal work;

(5) Having not been subjected to criminal punishment of deprivation of political rights;

(6) Having full capacity for civil conduct;

(seven) law-abiding, honest, decent style, unite with the masses.

Article 25 The president, vice-president and secretary-general of the Association shall be approved by the Council, reported to the competent business unit for review and approved by the registration authority of the Association before taking up their posts.

Article 26 The term of office of the President, Vice-President and Secretary-General of this Association is four years, and no more than two consecutive terms may be served. If it is necessary to extend the term of office due to special circumstances, it must be voted by more than two-thirds of the members' representatives at the members' congress, reported to the competent business unit for review, and approved by the registration authority of the association before taking office.

Article 27 The Secretary-General is the legal representative of the Association. The legal representative of this Association shall not concurrently serve as the legal representative of other social organizations.

Article 28 The President shall exercise the following functions and powers:

(a) to convene and preside over the general meeting of members, the Council and the Standing Council;

(two) to check the implementation of the resolutions of the members' congress, the Council and the Standing Council;

(3) Signing relevant important documents on behalf of the Association;

(4) Handling major issues in the implementation of the Articles of Association.

Article 29 The Secretary-General shall exercise the following functions and powers:

(1) To be responsible for the daily work of the secretariat of the Association under the leadership of the President, implement the work items determined by the members' congress, the Council and the Standing Council, and organize the implementation of the annual work plan;

(2) Organizing and coordinating the work of branches, representative offices and entities;

(3) Nominating deputy secretaries-general and submitting them to the Council or the Standing Council for decision;

(four) to decide on the employment of full-time staff of offices, representative offices and entities;

(five) according to their respective division of labor, organize and lead the Deputy Secretary General to carry out daily work;

(6) Handling other daily affairs.

Chapter V Principles of Asset Management and Use

Article 30 The sources of funds of this Association are:

(1) membership fees;

(2) Donation or sponsorship;

(3) government funding;

(four) income from activities or paid services within the approved business scope;

(5) Income of economic entities;

(6) Other lawful income.

Article 31 the association collects membership fees in accordance with the relevant provisions of the state. The membership fee standard must be approved by the member congress before it can be implemented.

Article 32 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.

Article 33 This Association shall establish a strict financial management system in accordance with the relevant provisions of the state to ensure the legality, truthfulness, accuracy and completeness of accounting information.

Article 34 An association shall be equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 35 The asset management of this Association shall strictly implement the asset management system stipulated by the state and accept the supervision of the general meeting of members and the financial department. If the source of assets belongs to state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and announce it to the public in an appropriate way.

Article 36 Before an association changes its term of office or changes its legal representative, it must accept the financial audit organized by the registration authority and the competent business unit of the association.

Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.

Article 38 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.

Chapter VI Revision and Procedure of Articles of Association

Article 39 The amendment to the articles of association of this Association shall be proposed by the Standing Council, adopted by more than two thirds of the directors of the Council, and submitted to the members' congress for deliberation.

Article 40 The revised articles of association of the Association shall come into effect within 15 days after being passed by the members' congress, reviewed and agreed by the competent business unit and approved by the registration administration organ of the Association.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 41 If the Association completes its purpose, dissolves or needs to be cancelled due to division or merger, the Council or the Standing Council shall propose a termination motion.

Article 42 The motion to terminate the association shall be discussed and passed by the members' congress and submitted to the competent business unit for examination and approval.

Forty-third before the termination of this association, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 44 this association shall be terminated after the cancellation of registration by the association registration authority.

Article 45 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purpose of this Association under the supervision of the competent business units and the registration and administration organs of associations in accordance with the relevant provisions of the state.

Chapter VIII Supplementary Provisions

Article 46 The Articles of Association was adopted by the members' congress on July 23, 20 10.

Article 47 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 48 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
