The securities affairs representative is an essential post for listed companies, and belongs to the securities affairs department under the leadership of the secretary of the board of directors, with the same scope of responsibilities as the secretary of the board of directors. According to the Stock Listing Rules of Shenzhen Stock Exchange (revised 20 12) and the Stock Listing Rules of Shanghai Stock Exchange (revised 20 12), listed companies should employ securities representatives to assist the secretary of the board of directors in performing their duties. When the secretary of the board of directors is unable to perform his duties, the securities affairs representative shall exercise his rights and perform his duties.
